DISTRIBUTOR AGREEMENT

Muwwadat Industries Pvt. Ltd.
(Registered Address: 33-C, Abu Bakkar Siddique Colony, Bund Road, Lahore, Pakistan)
Hereinafter referred to as "The Company"

AND

United Electric Store, Muzaffarabad Azad Jammu & Kashmir
(Tangastand, Muzaffarabad, AJK)
Hereinafter referred to as "
The Distributor"


1. APPOINTMENT & SCOPE

1.1 Appointment

The Company hereby grants the Distributor a non-exclusive right to market, sell, and distribute the following products within the Territory (as defined below):

·         Merit Cables: PVC wires, solar wires, and power cables.

·         Data Transit Cables: LAN cables, fiber optics, and CCTV cables.

·         Top Gear Auto Wires: Automotive harnesses and battery cables.

1.2 Territory

The Distributor is authorized to operate in Muzaffarabad, AJK, including:

·         Jhelum Valley (up to Chkothi).

·         Neelum Valley (up to Kel).
Sales outside this Territory require the Company’s prior written approval.

 

1.3 Exclusivity

The Company reserves the right to:

·         Appoint additional distributors within the Territory.

·         Engage in direct sales without restriction.


2. OBLIGATIONS OF THE DISTRIBUTOR

2.1 Marketing & Promotion

The Distributor shall:

·         Implement an annual marketing plan approved by the Company.

·         Participate in trade shows and local advertising campaigns.

·         Prominently display the Company’s branding and products at all points of sales

2.2 Inventory Management

·         Maintain a minimum stock worth PKR 500,000 (based on average sales value).

·         Submit quarterly inventory reports in the format prescribed by the Company.

2.3 Sales & Compliance

·         Sell products at Company-approved prices (retail margin: 36%; dealer discounts as predefined).

·         Prohibited actions include:

o    Offering unauthorized discounts.

o    Repackaging or altering products.

·         Provide technical installation support for applicable products.

2.4 Reporting Requirements

·         Submit detailed monthly sales reports, including:

o    Quantities sold.

o    Customer demographics.

o    Competitor activity analysis.

·         Report on customer complaints to the Company within 48 hours.

2.5 Non-Compete Clause

During the term of this Agreement, the Distributor shall not:

·         Market, distribute, or sell competing wire/cable brands without the Company’s written consent.


3. OBLIGATIONS OF THE COMPANY

3.1 Supply & Delivery

·         Fulfill orders within 12 days of receipt.

·         Provide free shipping for orders exceeding PKR 2,000,000.

3.2 Marketing Support

·         Supply branded marketing materials (e.g., brochures, catalogs).

·         Co-fund approved local advertising campaigns (terms to be mutually agreed).

3.3 Training & Assistance

·         Conduct bi-annual training sessions for the Distributor’s staff.

·         Assign a dedicated account manager for operational support.

3.4 Warranty & Returns

·         Replace defective goods within 1 week of inspection and approval.


4. PRICING, PAYMENT & ORDERS

4.1 Pricing Structure

·         Prices may be revised with 15 days’ prior written notice.

·         Volume discounts apply for orders exceeding PKR 3,000,000.

4.2 Payment Terms

·         Payment is due Net 40 days from the invoice date.

·         Initial investment to be shared: Distributor (50%) / Company (50%).

4.3 Order Process

·         Minimum order value: PKR 7,000,000 per quarter.


5. INTELLECTUAL PROPERTY

5.1 Trademark Use

·         The Distributor may use the Company’s trademarks only for approved promotions.

·         All materials must include the disclaimer:
"Merit Cables, DataTransit, and Top Gear are trademarks of Muwwadat Industries Pvt. Ltd."

5.2 Prohibited Actions

·         Reverse engineering, rebranding, or unauthorized replication of products is strictly prohibited.


6. TERM, RENEWAL & TERMINATION

6.1 Term

·         Initial term: 3 months (probationary), automatically renewing for successive terms unless terminated.

6.2 Termination for Cause

·         Immediate termination for breaches of:

o    Non-compete clauses.

o    Intellectual property rights.

6.3 Post-Termination Obligations

·         Return unsold inventory within 30 days at the Company’s expense.

·         5% restocking fee applies for non-defective returns exceeding 20% of the order value.


7. CONFIDENTIALITY

·         The Distributor shall not disclose confidential information for 2 years post-termination.


8. LIABILITY & INSURANCE

8.1 Insurance Requirements

The Distributor must maintain:

·         Inventory insurance (covering fire, theft, and natural disasters).

·         Any loss incurred during transit is solely Distributor’s responsibility

8.2 Liability Limitations

The Company is not liable for:

·         Losses due to the Distributor’s failure to insure goods.

·         Transit damages (unless shipped by Company-approved carriers).


9. GOVERNING LAW & DISPUTE RESOLUTION

·         This Agreement is governed by Pakistani law.

·         Disputes shall be resolved through arbitration in Lahore under the Pakistan Arbitration Act.


10. FORCE MAJEURE

·         Neither party is liable for delays caused by:

o    Natural disasters.

o    War or civil unrest.

o    Labor strikes.

·         The affected party must notify the other within 7 days of the event.


11. GENERAL PROVISIONS

11.1 Amendments

·         Any changes require written agreement from both parties.

11.2 Notices

·         Formal notices must be sent via registered post or email to the addresses listed herein.


ANNEXURE F: RETURN & INSURANCE TERMS

F.1 Return Conditions

·         Goods must be in original packaging.

·         No returns accepted after 60 days from delivery.

F.2 Insurance Coverage

·         Minimum coverage: 110% of the average inventory value.

·         Beneficiary: Muwwadat Industries Pvt. Ltd.
